Terms of Service

1. Eligibility

The Service is offered only to businesses and organizations. The individual accepting these Terms on behalf of a Customer represents that they are at least 18 years old and have authority to bind the Customer. The Customer is responsible for ensuring that its authorized users comply with these Terms.

2. Description of the Service

Route Monitor provides a QR-based patrol management platform that helps organizations define checkpoints, assign patrol routes to their personnel, verify checkpoint scans, log incidents, and generate reports and analytics. Feature availability depends on the plan selected.

3. Subscriptions, Fees, and Billing

Paid plans (Basic, Professional, Premium, Enterprise) are billed monthly in advance at the rates listed on our Pricing page unless otherwise agreed in writing. Fees are non-refundable except where required by law. We may change plan prices with at least 30 days' prior notice; continued use after the effective date constitutes acceptance.

The Customer authorizes us (or our payment processor) to charge the chosen payment method for all applicable fees and taxes. Enterprise plans are subject to the terms of the executed order form.

4. Acceptable Use

The Customer agrees not to, and not to permit its users to:

• Use the Service to violate any law or third-party right.
• Upload malicious code, attempt to gain unauthorized access, or interfere with the Service or its users.
• Use the Service to track individuals other than the Customer's own Personnel in the ordinary course of the Customer's legitimate business operations.
• Resell, sublicense, or white-label the Service except as expressly permitted in writing.
• Reverse engineer, decompile, or attempt to extract source code except to the extent prohibited by law.

5. Customer Data and Data Processing

The Customer retains all rights to the data, content, and materials it uploads or generates through the Service ("Customer Data"). The Customer grants Route Monitor a limited, non-exclusive license to host, process, transmit, and display Customer Data solely as necessary to provide the Service.

The Customer is the data controller of Customer Data, and Route Monitor is the data processor. The parties' data-processing obligations are set out in the Data Processing Addendum, which is incorporated into these Terms. Route Monitor will process Customer Data only on the Customer's documented instructions and as required by law.

6. Customer Responsibilities

The Customer is solely responsible for:

• Having a lawful basis to monitor its Personnel's patrol activities, including any required notices, consents, or collective agreements under applicable labor, employment, and data-protection laws.
• The accuracy and legality of Customer Data, including the identifiers it assigns to its Personnel.
• Configuring the Service appropriately for its operations (e.g., routes, checkpoints, access permissions).
• The acts and omissions of its authorized users and Personnel.

Route Monitor does not provide legal advice on employee monitoring and is not responsible for the Customer's compliance with labor or data-protection laws.

7. Intellectual Property

The Service, including its UI, software, designs, trademarks, and documentation, is and will remain the property of Alchlab SAC and its licensors. These Terms do not grant the Customer any right or license to use our trademarks except as part of using the Service in the ordinary course.

8. Suspension and Termination

We may suspend or terminate the Customer's access to the Service if the Customer breaches these Terms, fails to pay fees when due, or poses a security or legal risk. The Customer may cancel its subscription at any time from the account settings; cancellation takes effect at the end of the current billing period. Upon termination, Customer Data will be available for export for 7 days, after which it may be deleted.

9. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that it will meet the Customer's specific requirements.

10. Limitation of Liability

To the maximum extent permitted by law, Alchlab SAC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, customers, or data. Our total aggregate liability arising out of or relating to the Service will not exceed the amounts paid by the Customer to us in the 12 months preceding the event giving rise to the claim.

11. Indemnification

The Customer agrees to indemnify and hold us harmless from any claim brought by a third party (including the Customer's own Personnel) arising out of the Customer's use of the Service, its Customer Data, or its violation of these Terms or applicable law.

12. Changes to These Terms

We may update these Terms from time to time. The "Last updated" date above will reflect any changes. Material changes will be notified through the Service or by email to Customer administrators where appropriate. Continued use after the effective date constitutes acceptance of the revised Terms.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of Perú, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms will be submitted to the exclusive jurisdiction of the courts located in Lima, Perú.
